SHRI SIDDHIVINAYAK IT SOLUTIONS (SSIT Solutions)

Please read these Terms & Conditions carefully before purchasing or using any service from SHRI SIDDHIVINAYAK IT SOLUTIONS ("SSIT", "we", "us", "our"), located at Matrushraddha CHS A/6, Badlapur Gaon Road West, Sanewadi, Badlapur, Maharashtra 421503, India. By placing an order, accessing our services, or continuing to use our website you agree to be bound by these terms.

1. Definitions

  • "Client" / "You" — the individual or legal entity that purchases or uses services from SSIT.
  • "Service(s)" — all products and services offered by SSIT including software licences, AMC/support contracts, custom application development, cloud subscriptions, training, and consultancy.
  • "Vendor" — the third-party software or cloud platform provider (e.g., Tally Solutions Pvt. Ltd., BUSY Infotech, Terminal Service Plus, Utho).
  • "Order" — a confirmed request by the Client for any Service, evidenced by a purchase order, signed proposal, invoice, or written communication.
  • "Agreement" — these Terms & Conditions together with any SOW, proposal, or purchase order.

2. Services Offered

SSIT Solutions provides the following categories of services:

  • Software Reselling & Licensing — authorised sales of TallyPrime, BUSY ERP, TSplus remote access, and Utho Cloud.
  • Implementation & Data Migration — installation, configuration, and data migration for business software.
  • Annual Maintenance Contracts (AMC) & Technical Support — ongoing support, bug resolution, and updates.
  • Custom Application Development — web and desktop application development using Kaizen Framework and related technologies.
  • IT Training — instructor-led and online training on TallyPrime, BUSY ERP, TSplus, and other business software.
  • Consultancy — IT audits, process automation advisory, and technology road-mapping.

SSIT reserves the right to add, modify, or discontinue any service with reasonable notice to existing clients.

3. Orders & Acceptance

An Order is considered accepted only when SSIT sends a written confirmation (email, invoice, or signed agreement). SSIT reserves the right to decline or cancel any Order, including after confirmation, in the following circumstances:

  • Pricing errors or typographical mistakes on the website or quotation.
  • Unavailability of the requested software licence or service capacity.
  • Failure of the Client to provide required information (business details, GST number, etc.).
  • Suspected fraudulent or unlawful intent.

In case of cancellation by SSIT for non-client-fault reasons, any amount paid will be fully refunded within 10 business days.

4. Pricing & Taxes

All prices quoted are in Indian Rupees (INR) and are exclusive of applicable taxes unless stated otherwise.

  • GST (Goods and Services Tax) is charged at the rates prescribed by the Government of India at the time of invoice. Currently, software services attract 18% GST.
  • Prices are subject to change without prior notice. The price applicable to an Order is the price confirmed at the time of Order acceptance.
  • Vendor-set licence prices (Tally, BUSY, TSplus, Utho) are passed on at the current vendor rate and may change according to the respective vendor's pricing policy.

5. Payment Terms

Accepted payment modes: NEFT/RTGS, UPI (GPay, PhonePe, Paytm), cheque, or demand draft. Cash payments are accepted up to the limits prescribed under applicable Indian tax law.

Late payments will attract interest at 1.5% per month (18% per annum) on the outstanding amount from the due date. SSIT reserves the right to suspend services until all dues are cleared.

6. Software Licences & Vendor Terms

Software licences sold by SSIT are governed by the end-user licence agreements (EULAs) of the respective vendors. By purchasing a licence through SSIT, the Client agrees to comply with:

SSIT acts as an authorised reseller and is not a party to the EULA between the Client and the vendor. Any licence violations, misuse, or disputes with the vendor's product must be addressed directly with the respective vendor. SSIT's liability is limited to the reseller services it provides.

Licence Transfers: Software licences are generally non-transferable unless the vendor's policy permits it. Clients wishing to transfer a licence must seek prior written approval from SSIT and the vendor.

7. Delivery & Shipping

7.1 Digital Delivery (Software Licences & Keys)

Software licence keys, activation codes, and downloadable software are delivered electronically to the registered email address of the Client within 1–3 business days of payment confirmation, subject to vendor processing times. SSIT is not responsible for delays caused by the vendor's systems.

7.2 Physical Delivery (Hardware, Dongle, Documentation)

Where physical items such as USB dongles, printed manuals, or hardware accessories are involved, delivery is handled through reputable courier services (e.g., DTDC, Blue Dart, India Post Speed Post). Estimated delivery timelines:

Shipping charges, if any, will be communicated at the time of quotation. Risk of loss passes to the Client upon dispatch. SSIT will provide a tracking number once the shipment is booked.

7.3 On-Site Services

For implementation, training, or support requiring on-site presence, SSIT will schedule a visit in coordination with the Client. Travel and accommodation expenses for locations outside Badlapur / Kalyan-Dombivli region will be billed separately at actuals.

8. Refund Policy

8.1 Software Licences

Once a licence key has been issued and activated, refunds are not available. In the rare event of a defective or duplicate key, SSIT will coordinate with the vendor to provide a replacement at no charge.

8.3 Custom Development Projects

Refunds for custom development are governed by Section 2.3 of the Cancellation Policy.

8.4 Training Programmes

Refunds for training are governed by Section 2.4 of the Cancellation Policy.

8.5 Refund Processing

All approved refunds are processed to the original payment method within 7–15 business days of approval. Refunds are in INR only. Government taxes (GST) once remitted to the government are non-refundable.

9. Intellectual Property

SSIT's IP: All proprietary tools, frameworks (including Kaizen Framework), code libraries, templates, training materials, and documentation created by SSIT remain the exclusive intellectual property of SSIT Solutions unless explicitly transferred in writing to the Client upon full payment.

Client's IP: Any data, content, or materials provided by the Client to SSIT for the purpose of delivering services remain the Client's property. SSIT will not use such materials for any purpose other than delivering the agreed service.

Custom Development: Upon receipt of full payment, SSIT assigns the source code and deliverables of a custom development project to the Client, except for any underlying SSIT frameworks or third-party components which are licensed (not assigned).

Vendor Software: All third-party software (TallyPrime, BUSY, TSplus, Utho) remains the intellectual property of the respective vendors. Clients are granted a non-exclusive, non-transferable licence to use the software subject to the vendor's EULA.

10. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the course of the engagement, including but not limited to business data, financial information, technical specifications, and client lists. Confidential information shall not be disclosed to any third party without prior written consent, except:

  • As required by law or a court order.
  • To employees or sub-contractors on a need-to-know basis, subject to equivalent confidentiality obligations.
  • Information that is already publicly available through no fault of the receiving party.

This obligation survives the termination of any agreement between the parties for a period of 3 years.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • SSIT's total aggregate liability to the Client for any claim arising out of or related to any service shall not exceed the total fees paid by the Client for that specific service in the 12 months preceding the claim.
  • SSIT shall not be liable for any indirect, incidental, consequential, or punitive damages including loss of profit, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.
  • SSIT is not liable for service interruptions or defects in third-party vendor software. Any such claims must be directed to the respective vendor.
  • SSIT is not liable for delays or failures caused by circumstances beyond its reasonable control (force majeure), including natural disasters, government orders, internet outages, or pandemics.

12. Indemnification

The Client agrees to indemnify, defend, and hold harmless SSIT Solutions, its directors, employees, and agents against any claims, damages, losses, or expenses (including legal fees) arising from:

  • The Client's breach of these Terms & Conditions.
  • Misuse of licensed software in violation of the vendor's EULA.
  • The Client's negligence or wilful misconduct.
  • Infringement of any third-party intellectual property rights by the Client.

13. Warranty Disclaimer

Services provided by SSIT are delivered on an "as-is" and "as-available" basis. Except as expressly stated in a separate written warranty or Service Level Agreement (SLA), SSIT makes no warranties — express, implied, or statutory — including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Vendor software is subject to the vendor's own warranty terms. SSIT does not warrant uninterrupted, error-free operation of any third-party software.

14. Governing Law & Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of India. The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of notice.

If unresolved, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator mutually appointed by both parties. The seat and venue of arbitration shall be Badlapur, Maharashtra. The proceedings shall be conducted in English.

Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court.

15. Amendments

SSIT Solutions reserves the right to amend these Terms & Conditions at any time. The updated version will be published on this page with a revised effective date. For existing clients, material changes will be communicated by email at least 15 days in advance. Continued use of our services after the effective date constitutes acceptance of the revised terms.
